The ProSiebenSat.1 Media AG will not be taken over by Axel Springer AG. According to information from the shareholders, Axel Springer AG and P7S1 Holding L.P. mutually agreed to terminate plans for Springer to acquire ProSiebenSat.1 Media AG.

The ProSiebenSat.1 Group acquires a majority stake in Solute GmbH, which operates the second largest German pricing search engines on the Internet at www.billiger.de.

March 14

The ProSiebenSat.1 Group has a new Supervisory Board. Götz Mäuser, Partner of Permira Beteiligungsberatung GmbH (Permira) is appointed as the Chairman, Vice-Chairman is Lord Clive Hollick, Partner of Kohlberg Kravis Roberts & Co. (KKR).

ProSiebenSat.1 Media AG acquires 100 percent of SBS Broadcasting Group .

2008

May 14

The ProSiebenSat. Group sets up a new production company, Red Seven Entertainment. Red Seven Entertainment is producing light entertainment programming for the pan-European TV group. Additionally, the new company is developing talents and building names for artists in cooperation with the Groups stations. By establishing a separate production company for nonfiction entertainment, the Group also intends to facilitate its access to programming rights and to improve the use of its portfolio of original and acquired rights. Jobst Benthues is Managing Director of RedSeven Entertainment.

June 5

The ProSiebenSat.1 Group acquires Feeem Media GmbH.


June 11

Axel Salzmann, takes over the position of Chief Financial Officer for the ProSiebenSat.1 Media AG. He is responsible for group financial control, finance and investor relations, legal affairs, regulatory affairs and administration. Axel Salzmann succeeds Lothar Lanz, who left the company effective June 10, 2008.

June 16

The ProSiebenSat.1 Group sells the C More Group AB to Swedish broadcaster TV4. TV4 operates a number of Free- and Pay-TV channels in Sweden and is part of the Bonnier Group, a family-owned international media group.


June 17

Andreas Bartl, since May 2008 Managing Director of ProSiebenSat.1’s subsidiary German Free-TV Holding GmbH, joins the Executive Board with responsibility for the management segment German Free-TV.


September 1

Klaus-Peter Schulz to be the new Chief Sales & Marketing Officer. He will be in charge of the Group’s sales, marketing and research in German-speaking countries, and will also coordinate international sales and distribution activities. He succeeds Peter Christmann.
