Shareholder Structure

The share capital of ProSiebenSat.1 Media AG is composed of common shares and preferred shares, in equal parts. The Lavena Holding 1 GmbH , which is controlled by funds advised by Kohlberg Kravis Roberts & Co. L.P. (KKR) and Permira Beteiligungsberatung GmbH (Permira), is the majority shareholder of ProSiebenSat.1 Media AG, with 88.0 percent of the Company's voting common share. This is equivalent to 44.0 percent of the Company's total share capital. The Dutch media corporation Telegraaf Media Groep N.V. (TMG) holds 12.0 percent of the voting common share, equivalent to 6.0 percent of the total share capital. 100.0 percent of the preferred share, equivalent to 50.0 percent of the total share capital, is in free float or is held as treasury shares (treasury stock as of March 31, 2013: 5,827,050 shares).
