Shareholder Structure

The share capital of ProSiebenSat.1 Media AG is composed of common shares and preferred shares, in equal parts. The Lavena Holding companies, which are controlled by funds advised by Kohlberg Kravis Roberts & Co. L.P. (KKR) and Permira Beteiligungsberatung GmbH (Permira), are the majority shareholders of ProSiebenSat.1 Media AG, with 88.0 percent of the Company's voting common share and 18.0 percent of the non-voting preferred share. This is equivalent to 53.0 percent of the Company's total share capital. The Dutch media corporation Telegraaf Media Groep N.V. (TMG) holds 12.0 percent of the voting common share, equivalent to 6.0 percent of the total share capital. The remaining 82.0 percent of the preferred share, equivalent to 41.0 percent of the total share capital, is in free float or is held as treasury shares.
