ProSiebenSat.1 Media AG is a stock exchange-listed company with its registered head office in Unterföhring, near Munich. A stock corporation organized under German law has three main corporate bodies.
Annual General Meeting
The shareholders of ProSiebenSat.1 Media AG exercise their co-administration and control rights at the Annual General Meeting. Each common share conveys the right to cast one vote at the Annual General Meeting; barring mandatory statutory provisions to the contrary, preferred shares do not convey voting rights. In accordance with Article 19 of the Articles of Incorporation of ProSiebenSat.1 Media AG, preferred shares convey a preferential right to the distribution of the company's profit and a higher dividend claim.
The company's shareholders are informed of the individual agenda
items and the proposed resolutions of the Executive Board and
Supervisory Board within the invitation to the Annual General
Meeting.
